Terms of Service

1. Acceptance of Terms

By accessing or using Rackhouse ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Rackhouse is an AI-powered platform for vintage resellers. The Service allows users to create and manage storefronts, upload images, generate product descriptions, accept offers from buyers, process payments, and manage inventory listings across multiple marketplaces.

3. Beta / Early Access

The Service is currently in early access ("Beta"). During this period:

  • Features may be added, changed, or removed without prior notice
  • The Service may experience interruptions, downtime, or degraded performance
  • Data formats or APIs may change in ways that are not backward-compatible
  • We appreciate your feedback and patience as we continue to improve the platform

By using the Service during early access, you acknowledge and accept these conditions. We will make reasonable efforts to notify you of significant changes.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. User Content

You retain all rights to any content you upload to the Service. By uploading content, you grant Rackhouse a license to use, store, and process your content solely for the purpose of providing the Service to you.

You are solely responsible for the content you upload and must ensure you have all necessary rights and permissions.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code or harmful content
  • Harass, abuse, or harm others
  • Attempt to gain unauthorized access to the Service

7. AI-Generated Content

The Service uses artificial intelligence to generate listing descriptions. While we strive for accuracy, AI-generated content may contain errors. You are responsible for reviewing and verifying all generated content before use.

Please be aware of the following regarding AI-generated content:

  • AI-generated listings are produced using third-party AI providers
  • Images you upload for AI processing may be transmitted to these third-party AI providers for analysis
  • You should independently verify the accuracy of AI-generated era dating, measurements, brand identification, and other factual claims
  • Rackhouse does not guarantee the accuracy, completeness, or suitability of any AI-generated content
  • You are solely responsible for the final content published to any marketplace

8. Third-Party Platform Integrations

The Service allows you to connect third-party marketplace accounts, including eBay and Depop. When you connect these accounts:

  • Rackhouse acts as an intermediary between you and the connected platform
  • You grant Rackhouse permission to create, update, and manage listings on your behalf on connected platforms
  • OAuth tokens used to authenticate with connected platforms are encrypted at rest
  • You must comply with each connected platform's own terms of service, policies, and guidelines
  • Rackhouse is not responsible for actions taken by third-party platforms, including but not limited to account suspensions, listing removals, or policy changes
  • You may revoke Rackhouse's access to connected platforms at any time through your account settings or through the third-party platform directly

9. Intellectual Property

The Service, including but not limited to its software, algorithms, AI models and training methodologies, user interface design, branding, documentation, and all related intellectual property, is and remains the exclusive property of Rackhouse and its licensors. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as described herein.

You may not reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying technology of the Service. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent.

Any feedback, suggestions, or ideas you provide about the Service may be used by Rackhouse without obligation or compensation to you.

10. Payments and Subscriptions

Subscription fees, if applicable, are billed in advance and are non-refundable. We reserve the right to change pricing with 30 days' notice to active subscribers.

10.1 Storefront Transactions

Rackhouse facilitates transactions between buyers and sellers through its storefront feature. Rackhouse does not charge seller fees or commissions on transactions. Payment processing is handled by Stripe. By using the storefront, you agree to Stripe's terms of service. Sellers are responsible for fulfilling orders and handling disputes with buyers.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We reserve the right to modify, suspend, or discontinue the Service at any time.

12. Limitation of Liability

The Service is provided "as is" without warranties of any kind. Rackhouse shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.

13. Termination

We reserve the right to terminate or suspend your account at any time for violation of these Terms. You may terminate your account at any time by contacting us.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located within the State of Texas.
